These Terms govern your use of SerialFlow. If you use the Service, you agree to these Terms.

1. Who We Are

SerialFlow is a product operated by Niro Software (sole proprietor) based in Atlanta, Georgia, USA ("SerialFlow", "we", "us"). We provide the SerialFlow web application, related services, and documentation (collectively, the "Service"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and Accounts

You must be at least 13 years old (or older if required by your local law) to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit malicious code or interfere with the Service
  • Attempt to gain unauthorized access to any systems
  • Use the Service for unlawful, harmful, or abusive purposes

4. Your Content and Data

You retain ownership of the data you send to the Service ("Content"). You grant us a limited, worldwide license to host, process, and transmit your Content solely to operate and improve the Service. You are responsible for ensuring you have the rights and permissions needed to submit Content.

If you choose to save or export data (when available), you authorize us to store and process that data. Do not upload sensitive data you do not have the right to share.

Your use of the Service is also governed by our Privacy Policy.

5. Alpha/Beta Service

The Service is currently in alpha. Features may change, be removed, or be unavailable, and data loss may occur. Use the Service with appropriate caution.

6. Paid Plans, Trials, and Billing

If we offer paid plans, you agree to pay all applicable fees and taxes. Subscriptions may auto-renew unless cancelled. Refunds, if any, are as described at purchase or in our billing terms. We may change pricing with reasonable notice.

7. Third-Party Services

The Service may rely on third-party services and browser APIs (for example, WebSerial). We are not responsible for the availability, security, or functionality of third-party services.

8. Intellectual Property and Feedback

The Service and its original content are owned by SerialFlow and protected by intellectual property laws. If you provide feedback, you grant us a non-exclusive, worldwide, royalty-free license to use it without restriction or compensation.

9. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if we discontinue the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERIALFLOW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless SerialFlow from any claims, damages, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state or federal courts located in Cobb County, Georgia.

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date above. Continued use of the Service after changes means you accept the updated Terms.
